These Terms of Service and End User License Agreement (together, the “Terms”) govern your access to and use of the ConsultWise website, your account, and the digital documents, templates, and related materials offered for sale through it (collectively, the “Service” and the “Products”). Please read them carefully. By creating an account, purchasing a Product, or downloading or using any Product, you agree to be bound by these Terms.
The Service is operated by Zentrum24, LLC, a limited liability company organized under the laws of the State of Wyoming, United States of America (“Zentrum24,” “we,” “us,” or “our”). ConsultWise is a brand of Zentrum24.

“You” and “your” mean the individual or organization that creates an account or purchases a Product. If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
ConsultWise sells a catalog of editable Good Manufacturing Practice (GMP) and quality-management document templates — including standard operating procedures, forms, protocols, policies, and related quality documents — delivered as downloadable digital files (for example, editable source files and print-ready PDFs) in the language edition you purchase. The catalog is offered as a one-time purchase per language edition at the price shown at checkout (currently $999 USD per language edition), exclusive of any applicable taxes unless stated otherwise.
Each document is supplied with a neutral placeholder (for example, “[Your Company]”) in the header, footer, and body, and is intended to be customized by you before use. Product descriptions, document counts, previews, and screenshots are provided to help you evaluate the catalog; minor variations may occur, and free previews are available before purchase.
Subject to your compliance with these Terms and your payment of all applicable fees, Zentrum24 grants you a perpetual, worldwide, non-exclusive, non-transferable, non-sublicensable license to use the Products you have purchased for your own professional and business purposes. For clarity: the license is about the use and customization of the documents for real quality and compliance work. It is not a license to become a reseller of the catalog itself.
The Products, the ConsultWise catalog, the website, and all related text, structure, design, and materials are owned by Zentrum24 and are protected by copyright and other intellectual-property laws. Except for the license expressly granted in Section 3, Zentrum24 retains all right, title, and interest in and to the Products and the Service. Your customized versions of individual documents — including the client- or firm-specific content you add — are yours to use as described in these Terms, but the underlying templates, catalog, and any unmodified Zentrum24 content remain the property of Zentrum24. No rights are granted by implication or estoppel.
The Products are informational templates only. They are not legal, regulatory, medical, or other professional advice, and providing them does not create any advisory, consulting, or professional relationship between you and Zentrum24. GMP and quality requirements vary by product, process, jurisdiction, and regulator, and they change over time. You are solely responsible for reviewing, adapting, validating, and approving every document for your specific use, and for ensuring that your quality system and any documents you issue comply with all laws, regulations, standards, and guidance applicable to you and your clients. You should obtain advice from qualified professionals (including legal and regulatory experts) as appropriate.
THE SERVICE AND THE PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, ZENTRUM24 DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the above, Zentrum24 does not warrant that the Products are accurate, complete, current, or up to date; that they satisfy any GMP, regulatory, legal, or quality requirement; that they are suitable or fit for any particular product, process, facility, inspection, submission, or jurisdiction; or that their use will result in compliance, approval, or any particular outcome. Regulatory expectations change, and the Products may not reflect the most current requirements at the time you use them. You accept full responsibility for verifying currency and fitness before use.
TO THE FULLEST EXTENT PERMITTED BY LAW, ZENTRUM24 AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR REGULATORY STANDING, ARISING OUT OF OR RELATING TO THE SERVICE OR THE PRODUCTS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ZENTRUM24'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THE PRODUCTS WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO ZENTRUM24 FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, the exclusions and limitations in Sections 6 and 7 apply only to the extent permitted by law, and nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited (see Section 12).
You agree not to use the Service or the Products to: (a) violate any law or regulation; (b) infringe or misappropriate the intellectual-property or other rights of any person; (c) create documents intended to deceive a regulator, auditor, or other party (for example, by presenting untested or inapplicable procedures as validated); (d) attempt to gain unauthorized access to the Service, other accounts, or our systems; (e) interfere with, disrupt, or place undue load on the Service; or (f) reverse engineer, scrape, or bulk-download the Service other than through the normal purchase and download functions. You are responsible for how the documents you issue are used within your and your clients' organizations.
Certain features require an account. You agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity under your account. Your purchased Products and downloads are made available through your account. You must notify us promptly of any unauthorized use. We may suspend or terminate an account that violates these Terms; termination does not, by itself, revoke a license you have already validly acquired under Section 3, except where the termination is due to your material breach of these Terms, in which case your license also terminates and you must cease use and destroy remaining copies of the unmodified Products.
Prices are shown at checkout. You are responsible for any applicable sales, use, VAT, or similar taxes, which may be added at checkout where required. Products are delivered digitally (by download and/or by email link) after payment is confirmed. Refund and withdrawal terms, including any statutory rights that apply to you, are described at checkout and in our refund and consumer-rights information; those terms are incorporated into these Terms by reference.
You accept these Terms by checking the acceptance checkbox presented at checkout (which is required to complete a purchase) and, in any event, by creating an account, completing a purchase, or downloading or using any Product. If you do not agree to these Terms, do not check the box, complete a purchase, or use the Products. We may update these Terms from time to time; the version in effect at the time of your purchase governs that purchase, and continued use of the Service after an update constitutes acceptance of the updated Terms for ongoing use.
These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws rules, and, where applicable, by the federal law of the United States. Subject to the paragraph below, you agree that the state and federal courts located in Wyoming, USA, will have jurisdiction over any dispute arising out of or relating to these Terms or the Service.
Mandatory local consumer rights are not affected. If you deal with us as a consumer, nothing in these Terms removes or limits any rights you have under the mandatory consumer-protection laws of your country or region of residence — including, for consumers in the European Union, the United Kingdom, and similar jurisdictions, rights that cannot be waived by agreement. Where such mandatory law applies, it prevails over the governing-law and forum provisions above to the extent of any conflict, and you may also have the right to bring proceedings in the courts of your place of residence.
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted. Our failure to enforce any provision is not a waiver. These Terms, together with the refund and consumer-rights information and privacy notice referenced at checkout, constitute the entire agreement between you and Zentrum24 regarding the Service and supersede any prior understandings on that subject.
